Terms of Service

Last updated: 19 October 2026

On this page

These Terms of Service ("Terms") are an agreement between you and PxHurts OÜ, a private limited company registered in Estonia (registry code 17180511, Telliskivi tn 60a/5, 10412 Tallinn, Estonia), which operates Komissio ("Komissio", "we", "us"). They apply when you use komissio.io, the Komissio web app, API, Shopify app or any related service (the "Service").

1. Accepting these Terms

By creating an account, installing the Shopify app or otherwise using the Service, you accept these Terms. If you use the Service for a company, you confirm that you are allowed to bind that company, and "you" then means the company.

The Service is meant for businesses and for people acting in a trade or profession, such as affiliates and bloggers who promote products. You must be at least 18 years old.

Our Privacy Policy and, for merchants, our Data Processing Agreement form part of these Terms.

2. The Service

Komissio is affiliate tracking software. In Komissio:

  • Merchants are businesses, such as SaaS companies that bill through Stripe and Shopify stores, that create affiliate programs, set commission rules, invite affiliates and approve commissions.
  • Affiliates are partners, bloggers and creators who promote a merchant with referral links or promo codes and earn the commissions that merchant sets.
  • Komissio tracks clicks, conversions and commissions, shows reports, and either sends payouts through Stripe Connect or records and exports them so that the merchant can pay in another way.

We may improve, change or remove features. If we remove a feature that is central to a paid plan, we will tell you in advance.

3. Accounts

  • Give accurate information and keep it up to date.
  • Keep your password and API keys secret. You are responsible for what happens in your account, including actions by team members you invite.
  • Tell us at once at [email protected] if you think your account has been misused.
  • Do not open extra accounts to get around plan limits, a trial or a suspension.

4. Plans, trial, renewal, cancellation and refunds

  • Plans: Starter costs $49 per month and Growth costs $99 per month. Enterprise plans are priced on request. The features and limits of each plan are shown on our pricing page.
  • Free trial: new merchants get a 14-day free trial, and no card is required to start it. Some partner or event offers include a longer trial, and the offer states its length. To keep using the Service after the trial, choose a plan and add a payment method.
  • Billing: subscriptions are billed monthly in advance through Stripe, in US dollars unless we agree otherwise. Prices exclude VAT and other taxes, which are added where they apply.
  • Renewal: your subscription renews automatically every month until you cancel it.
  • Cancellation: you can cancel at any time in your billing settings. Cancellation takes effect at the end of the current paid period, and you keep access until then.
  • Refunds: we do not refund partial months or unused time, except where the law requires a refund.
  • Failed payments: if a payment fails, we may try again and, after telling you, limit or suspend paid features until the invoice is paid.
  • Price changes: we will email you at least 30 days before a price increase. It applies from your first billing period after that notice, and you can cancel before then.
  • No revenue share: Komissio charges only the subscription fee. We do not take a percentage of your revenue or of the commissions you pay. Stripe charges its own fees for payments and payouts.

5. Commissions and Stripe Connect payouts

Each merchant sets the commission rules of its own program, such as rates, the attribution window, hold periods, the minimum payout and what happens when an order is refunded. Komissio calculates commissions from those rules and from the data it receives.

5.1 Automatic payouts through Stripe Connect

If a merchant turns on automatic payouts, affiliates connect their own Stripe account, and approved commissions are transferred from the merchant's Stripe account to the affiliate's Stripe account. Komissio sends the instruction to Stripe but never holds or receives the money. Stripe's terms, including the Stripe Connected Account Agreement, apply to these transfers.

5.2 Recorded and exported payouts

If a merchant pays affiliates in another way, for example by bank transfer, Komissio records the commissions and lets the merchant export them. The merchant then makes the payment outside Komissio.

5.3 Who owes the commission

Commissions are owed by the merchant, not by Komissio. Komissio is not a party to the agreement or the payment between a merchant and its affiliates and does not hold any funds. We are not responsible if a merchant does not pay. Affiliates should raise questions about a commission with the merchant first.

5.4 Taxes

Merchants and affiliates are each responsible for their own taxes, invoices and reporting on commissions.

6. Merchant responsibilities

If you are a merchant, you agree to:

  • pay the commissions you owe your affiliates under your program terms, on time and in full
  • give your affiliates clear program terms, including commission rates, hold periods and refund rules
  • have a legal basis and give the required notices for the personal data you put into Komissio, including affiliate and customer data
  • ask for cookie consent on your own sites where the law requires it
  • follow the advertising, consumer protection, tax and anti-spam laws that apply to your program
  • keep your Stripe or Shopify connection working and make sure the data you send us is accurate
  • handle disputes with your affiliates yourself, in good faith

7. Affiliate responsibilities

If you are an affiliate, you agree to:

  • promote merchants honestly and disclose that you earn a commission, as advertising law and platform rules require
  • follow each merchant's program terms, including any rules on paid ads, coupons and brand keywords
  • not create fake clicks, sign-ups or orders, not buy through your own link unless the merchant allows it, and not use cookie stuffing, spam or misleading ads
  • keep your payout details accurate and, if you are paid through Stripe Connect, accept Stripe's terms

A merchant may reject or reverse commissions that come from activity that breaks its program terms.

8. The Shopify app

Merchants can install Komissio from the Shopify App Store. By installing it, you allow the app to access the store data listed on the permission screen, such as orders and discount codes, so that it can credit sales to affiliates.

The app is free to install on Shopify. Komissio plans are billed by us through Stripe, as described in section 4.

If you uninstall the app, we stop reading your store data. Shopify then sends us a request to delete the store's data, and we delete it as Shopify requires. Export anything you want to keep before you uninstall.

Shopify's own terms also apply to your use of Shopify.

9. In-store sales and the blogger pilot

Some merchants use Komissio for in-store sales. Shop staff record a sale on the cashier page by entering the blogger's promo code and the sale amount. The merchant decides who has cashier access and is responsible for the accuracy of the sales recorded.

Bloggers who join the pilot accept an affiliate agreement at komissio.io/c/blogger. That agreement sets out how commissions are earned and paid. Where it differs from these Terms on those points, the blogger agreement applies.

Pilot features may change faster than the rest of the Service. We may end a pilot with reasonable notice.

10. Acceptable use

You must not use the Service to:

  • break the law or anyone's rights, including privacy and intellectual property rights
  • promote illegal, dangerous or deceptive products or services
  • send spam or run misleading or fraudulent campaigns
  • upload malware or try to get into accounts, systems or data that are not yours
  • overload or scrape the Service, or reverse engineer it except where the law allows
  • resell the Service without our written permission

We may remove content, limit features or suspend an account that breaks this section. Where reasonable, we will warn you first and give you a chance to fix the problem.

11. Your data and our intellectual property

You keep all rights to the data you put into Komissio. You allow us to use it only to provide, secure and support the Service, as described in our Privacy Policy and Data Processing Agreement. You can export your program data, such as affiliates and commissions, while your account is active.

Komissio, its software, design and brand belong to PxHurts OÜ. We give you a limited, non-exclusive, non-transferable right to use the Service while your account is active.

If you send us feedback or ideas, we may use them freely.

12. Suspension and closing an account

You can close your account at any time. A paid subscription ends at the end of the current paid period (see section 4).

We may suspend or close an account if you seriously or repeatedly break these Terms, if you do not pay, or if the law requires it. Except in urgent cases, such as fraud or a security risk, we will give you notice first.

After an account is closed, you can ask us for an export of your data within 30 days. We then delete or anonymize the data within 90 days, except for records we must keep by law.

13. Availability and warranties

We work to keep the Service available and accurate, but we do not guarantee that it will be uninterrupted or error free. Tracking also depends on things outside our control, such as browsers, ad blockers, Stripe, Shopify and how the merchant set up tracking. We will try to announce planned maintenance in advance.

To the extent the law allows, the Service is provided "as is", and we give no warranties other than those stated in these Terms.

14. Limitation of liability

Nothing in these Terms limits liability for intent, gross negligence, death or personal injury, or any other liability that cannot be limited by law.

Otherwise, neither party is liable for indirect or consequential loss, such as lost profits, lost revenue or lost data. Our total liability for all claims in connection with the Service is limited to the fees you paid us for the Service in the 12 months before the event that caused the claim. If you have only used a free trial or a free plan, our total liability is limited to 100 euros.

We are not liable for commissions owed by merchants, for the conduct of merchants or affiliates, or for services provided by Stripe, Shopify or other third parties.

15. Indemnity

If a third party makes a claim against us because of your program, your content or your breach of these Terms or the law, you will cover our reasonable costs and losses from that claim. This does not apply to consumers where the law does not allow it.

16. Changes to these Terms

We may update these Terms. For significant changes, we will notify you by email or in the app at least 30 days before they take effect. If you do not agree, you can cancel before the change applies. If you keep using the Service after that date, you accept the new Terms.

17. Governing law and disputes

These Terms are governed by the laws of Estonia. The UN Convention on Contracts for the International Sale of Goods does not apply.

Disputes will be decided by the courts of Estonia, with Harju County Court (Harju Maakohus) in Tallinn as the court of first instance.

If you are a consumer in the EU or EEA, you keep the protection of the mandatory laws of the country where you live and can also bring a claim in the courts there.

Before going to court, please write to [email protected]. Most problems can be solved quickly by talking.

18. General

  • Entire agreement: these Terms, the Privacy Policy, the Data Processing Agreement and any written agreement we sign with you make up the full agreement about the Service.
  • Severability: if part of these Terms is invalid, the rest still applies.
  • No waiver: if we do not enforce a right straight away, we do not give it up.
  • Transfer: you may not transfer these Terms without our written consent. We may transfer them to a company that takes over the Service, and we will tell you if we do.
  • Force majeure: neither party is liable for delays caused by events outside its reasonable control.
  • Language: these Terms may be translated. If versions differ, the English version applies, unless the law requires otherwise.
